Guhring, Inc. (the "Company") warrants to original equipment manufactures and
to industrial and commercial distributors and users of Guhring, Inc. brand
products (the "Products") purchased from the Company that each new Product
shall be free from defects in materials and workmanship. The Company’s sole
obligation under this warranty is limited to furnishing, without additional
charge, a replacement for or, at its option, repairing or issuing credit for
any Product which shall within one year from the date of sale by the Company be
returned freight prepaid to the warehouse designated by a Company
representative and which upon inspection is determined by the Company to be
defective in materials or workmanship. Complete information as to operating
conditions, machine setup and application of cutting fluid should accompany any
returned Product. This warranty shall not apply to any Product which has been
subjected to misuse, improper operating conditions, machine setup or
application of cutting fluid or which has been repaired or altered if such
repair or alteration in the Company’s judgment would adversely affect
performance of the Product. THIS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES,
EXPRESSED OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHATABILITY OR
FITNESS FOR A PARTICULAR PURPOSE. The Company’s sole liability on any claim of
any kind, whether in contract, tort or otherwise, for any loss or damage
arising out of, connected with, or resulting from the manufacture, sale,
delivery or use of the Product shall in no case exceed the cost of replacement
or repair as provided herein. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY
SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES. There are no other warranties,
express or implied, made by the Company to original equipment manufactures or
to industrial or commercial distributors or users except the warranty against
defects in material and workmanship set forth above, and the Company neither
assumes nor authorizes any person or firm to assume for it any other
obligations or liability in connection with its Products.
RETURNED GOODS
Any product sold or produced by Guhring, Inc. to an authorized distributor or
customer may be returned in accordance with Guhring’s Return Goods Policy
effective July 7, 1992. A copy of Guhring’s Return Goods Policy is available
upon request.
Shipping and/or ordering errors must be reported immediately and returned
within 30 days of receipt of the goods.
No materials will be accepted without prior agreement and (RGA#) Return Goods
Authorization Number. This number should be clearly stated on the outside of
the package. A completed Return Goods Form or a copy of the Delivery Note and
Invoice must be inside the package with the goods. Clear documentation and
reason for return must accompany all returns. Only full, unbroken packages will
be accepted. Product must be new and unused. Freight Prepaid.
All Sales are final.
Governing law for all Guhring, Inc. sales is that of the State of Wisconsin,
USA. Guhring, Inc. customers agree to submit to the jurisdiction of the courts
of the State of Wisconsin, USA.
A 30% return goods handling charges will be applied to items ordered in error or
no longer needed by the customer without a replacement order.

PAYMENT TERMS
Net 30, unless prior written approval is obtained from Guhring, Inc. A FINANCE
CHARGE OF 1 ˝% PER MONTH PERIODIC RATE, WHICH IS AN ANNUAL RATE OF 18% WILL BE
INCURRED ON ALL PAST DUE AMOUNTS.
